if we are able to pass information as xml between two systems is that same as web service.

If your connection uses an HTTP request from the client and gets a HTTP response from the server it might be called a web service.

If it uses the RESTful architecture rules for what each HTTP method - GET, POST, PUT, etc does then it is certainly a web service.

I suggest you peruse some of the articles linked from the Web service FAQ here at the ranch to further orient yourself in the universe of web services.
