WSAD is a superset of Eclipse. The lastest version of WSAD (v5.1) is based on Eclipse v2.1.1. You can do Java development and general IDE stuff with Eclipse; WSAD adds J2EE development tools.
Most of the IBM / Rational application development tools are (or will be) Eclipse-based. That saves a company buckets of money that would otherwise be spent on building common IDE infrastructure. Users benefit because there's a common UI. Of course Eclipse being open source helps AD tool developers in general because they can rely on a common base without being beholden to a mammoth corporate entity.
