hi all

can anyone suggest some tools which convert XML files to text files and vice versa, according to our validation rules???

You should first take a look at whether XSL is powerful enough.

This " vice versa" made XSLT is absolutely not working.

Well not exactly. Check out Michael Kay's book about XLST and you will see, that you cold transform plain text to XML as well. It makes eventually sense to write some wrapper around xlst transformation. We usually transform ASCII into a flat XML and into it's target schema after that.
XMLSpy or Stylus Studio would be good tools.
